This essay, taking as its starting point the notion of consumer resulting from the amendments introduced by Legislative Decree no. 136 of 13 September 2024, exam-ines the conditions governing the unlimited liability partner’s access to the procedures for the regulation of the over-indebtedness crisis. The analysis focuses on the issues aris-ing from the coexistence, within the partner’s assets, of personal debts and liability for corporate obligations, assessing the relevance of withdrawal for the purpose of ac-cessing the procedures reserved to the consumer, as well as the relationship between the consumer debt restructuring plan and the minor composition agreement. The study shows how, in cases of mixed indebtedness, the current legal framework risks re-stricting the partner’s access to the negotiated instruments for the settlement of his over-indebtedness, making controlled liquidation, in practice, the preferred route to debt discharge.
Il contributo, muovendo dalla nozione di consumatore risultante dalle modifiche in-trodotte dal d.lgs. 13 settembre 2024, n. 136, esamina i presupposti di accesso del so-cio illimitatamente responsabile agli strumenti di regolazione della crisi dadel sovrain-debitamento. L’analisi si concentra sulle questioni poste dalla compresenza, nel pa-trimonio del socio, di debiti personali e responsabilità per obbligazioni sociali, verifi-cando la rilevanza del recesso ai fini dell’accesso agli strumenti riservati al consuma-tore e i rapporti tra piano di ristrutturazione del consumatore e concordato minore. L’indagine evidenzia come, nelle ipotesi di debitoria mista, l’assetto normativo vigen-te rischi di comprimere l’accesso per il socio agli strumenti negoziali di composizione del suo sovraindebitamento, rendendo, di fatto, la liquidazione controllata la via da prediligere per l’esdebitazione.
