The contribution provides a critical overview of theoretical issues and institutional provisions related to the shareholder-stakeholder perspectives, and a discussion of the overall economic implications. In the first part it illustrates how the ongoing discussion on stakeholders’ vs. shareholders’ interest often suffers of some haze and muddled thinking. The second part examines the possible interventions in the sphere of corporate governance to evaluate the ways in which the alternative institutional set-ups balance the different shareholder and stakeholder interests.
